These Membership Terms and Conditions ("Terms") govern the membership relationship between the Committee for Economic Development of Australia ABN 49 008 600 922 ("CEDA", "we", "us", "our") and the individual or organisation holding membership with CEDA ("Member", "you", "your").
By applying for, renewing or maintaining Membership, you agree to be bound by these Terms, the CEDA Constitution and any applicable policies published by CEDA from time to time.
In the event of any inconsistency between these Terms and the CEDA Constitution, the Constitution prevails to the extent of the inconsistency.
2. Membership
CEDA offers a range of membership categories and benefits as determined by CEDA from time to time.
Membership entitles Members to participate in and access certain programs, events, publications, networking opportunities, research, advocacy activities and related services offered by CEDA.
Membership benefits are provided at the discretion of CEDA and may be varied, suspended, withdrawn or discontinued at any time.
Membership does not guarantee the provision or availability of any particular:
CEDA may amend membership categories, benefits, entitlements and eligibility requirements from time to time.
3. Member Responsibilities

CEDA may suspend or terminate Membership where a Member breaches these Terms or engages in conduct that, in CEDA’s reasonable opinion, is inconsistent with CEDA’s values, reputation or interests.
4. Fees and Payment
Membership fees are payable annually in advance unless otherwise agreed in writing by CEDA.
Membership fees are non-refundable except where required by law. CEDA may, in exceptional circumstances and in its absolute discretion, approve a refund, credit or transfer of all or part of a membership fee.
Membership fees are paid in consideration for membership status, participation rights and access to membership benefits during the membership period and, except as required by law, are non-refundable once the membership term commences.
Membership fees are not held on trust, on deposit, or separately for the benefit of Members.
CEDA may review and vary membership fees from time to time. Notice of any fee changes will generally be provided prior to renewal.
Failure to pay membership fees within 30 days of the due date may result resignation of Membership.
5. Renewals
Membership renews in accordance with the membership term specified by CEDA at the time of application or renewal. Renewal notices and invoices will be issued electronically.
6. Termination and Resignation
Either party may terminate Membership by providing written notice.
CEDA may resign a Membership where:
No refunds, credits or reimbursements will be provided for terminated or partially used membership periods except where required by law.
If CEDA ceases operations, enters external administration or is wound up, Members will not be entitled to repayment, refund or reimbursement of membership fees except to the extent required by law.
Termination of Membership does not affect any accrued rights or obligations existing prior to termination.
7. Events and Programs
CEDA may cancel, postpone, substitute, modify or deliver events, programs or services in alternative formats at its discretion.
To the maximum extent permitted by law, CEDA is not liable for any loss, cost or inconvenience arising from the cancellation, postponement, modification or unavailability of any event, program or service.
Separate terms and conditions may apply to particular events, programs or services.
8. Privacy
CEDA collects, uses, stores and discloses personal information in accordance with its Privacy Policy.

9. Intellectual Property
All intellectual property rights in CEDA materials, publications, branding, logos, research and content remain the property of CEDA or its licensors unless otherwise stated.
Members must not reproduce, distribute or commercially exploit CEDA content without prior written consent.
10. Limitation of Liability
To the maximum extent permitted by law, CEDA excludes all liability for indirect, consequential or incidental loss arising from Membership or participation in CEDA activities.
Where liability cannot be excluded by law, CEDA’s liability is limited to the amount of the membership fee paid by the relevant Member for the applicable membership period.
Nothing in these Terms excludes, restricts or modifies rights that cannot lawfully be excluded under applicable law, including the Australian Consumer Law.
11. Amendments
CEDA may amend these Terms from time to time.
Updated Terms will be published on the CEDA website and will take effect from the stated effective date.
Continued Membership following publication of updated Terms constitutes acceptance of the amended Terms.
12. Governing Law
These Terms are governed by the laws of the Australian Capital Territory and Australia.
The parties submit to the non-exclusive jurisdiction of the courts of the Australian Capital Territory and the Commonwealth of Australia.
